Welcome to PrimeNote. These Terms of Service ("Terms") govern your access to and use of the PrimeNote mobile application and website (collectively, the "Service") operated by YUANJIE Co., Ltd. ("Company", "we", "us", or "our"). By accessing or using our Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, downloading our application, or using PrimeNote in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our Service.

2. Description of Service

PrimeNote is an AI-powered learning assistant that transforms your learning materials into knowledge you actually retain. Our Service includes:

  • Multi-format Input: Voice recording, audio file upload, PDF documents, web links, images, and text notes
  • AI Processing: Automatic transcription, summarization, and content structuring
  • Learning Tools: AI-generated summaries, infographics, mind maps, flashcards, quizzes, and podcasts
  • Spaced Repetition: Scientifically-proven learning algorithms to optimize retention
  • AI Chat: Context-aware Q&A based on your content
  • Sharing: Content export and sharing capabilities

3. User Accounts

To access certain features, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access
  • Not share your account or transfer it to others

4. Subscription and Payments

Free Plan: Limited features with monthly usage quotas.

Premium Plan: Full access to all features, including unlimited notes, advanced AI processing, podcast generation, and offline access.

  • Premium subscriptions are billed monthly or annually via app store
  • Subscriptions automatically renew unless cancelled before the renewal date
  • You can cancel anytime through your app store account settings
  • Refunds are subject to app store policies (typically within 7 days of purchase)
  • No partial refunds for unused subscription periods

5. User Content and Intellectual Property

Your Content: You retain all ownership rights to the content you upload, create, or input into PrimeNote ("User Content"). By using our Service, you grant us a limited, non-exclusive license to process, store, and display your content solely for the purpose of providing the Service to you.

AI-Generated Content: Content generated by our AI (summaries, flashcards, podcasts, etc.) based on your User Content is provided for your personal use. You may use, modify, and share such content.

Our Property: The Service, including all software, design, text, graphics, and other content created by us, is owned by YUANJIE Co., Ltd. and protected by intellectual property laws.

6. Acceptable Use Policy

You agree not to:

  • Upload content that infringes on third-party intellectual property rights
  • Upload illegal, harmful, threatening, abusive, or objectionable content
  • Use the Service for any unlawful purpose
  • Attempt to reverse engineer, decompile, or hack our systems
  • Use automated tools, bots, or scripts to access the Service
  • Interfere with or disrupt the Service or servers
  • Circumvent any usage limits or access restrictions
  • Resell or commercially exploit the Service without authorization

7. AI Content Disclaimer

Our AI-generated content is provided for informational and educational purposes only. While we strive for accuracy:

  • AI-generated summaries, flashcards, and other content may contain errors
  • You should verify important information from original sources
  • AI content should not be relied upon for medical, legal, financial, or professional advice
  • We do not guarantee the completeness or accuracy of transcriptions

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YUANJIE CO., LTD. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless YUANJIE Co., Ltd. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Modifications to Service and Terms

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We may update these Terms periodically. Significant changes will be notified via email or in-app notification at least 30 days before taking effect. Continued use after changes constitutes acceptance.

12. Termination

By You: You may delete your account at any time through the app settings.

By Us: We may suspend or terminate your account for violations of these Terms, illegal activity, or extended inactivity. Upon termination, your right to use the Service ceases immediately.

13. Governing Law and Disputes

These Terms shall be governed by the laws of the jurisdiction where YUANJIE Co., Ltd. is registered. Any disputes shall be resolved through good-faith negotiation first. If unresolved, disputes shall be submitted to the competent courts of that jurisdiction.

14. General Provisions

  • Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and us.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Failure to enforce any right does not constitute a waiver of that right.
  • Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
